1. Introduction and Acceptance

Welcome to Abwab (the “App” or the “Service”). Abwab is a mobile-first platform that connects building managers with building residents and owners to manage financial and non-financial matters of buildings in a transparent and collaborative way.

By creating an account, accessing, or using Abwab in any way, you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, you must not use the App.

If you are using the App on behalf of a building, committee, company, or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Definitions

For the purposes of these Terms:

• “Abwab”, “we”, “us”, and “our” mean Arqawi Technologies, the owner/operator of the App.
• “Building Admin” means the person or entity responsible for managing the building within the App (e.g., building manager, committee member, or authorized representative).
• “Unit Owner” means the person who owns a residential or commercial unit in the building.
• “Unit Resident” means the person who lives in or uses a unit in the building (whether or not they own it).
• “User”, “you”, or “your” means any person who accesses or uses the App.
• “Building Data” means all information, financial records, documents, and configurations relating to a building or its units stored in the App.

3. Description of the Service

Abwab provides tools that allow:

• Building Admins to manage building profiles, units, residents, owners, financial records, and documents.
• Unit Owners and Unit Residents to view their unit balances, payment history, and (where permitted) building-level financials and documents.
• Sharing building updates, expenses, and other information between Building Admins and residents/owners.

Abwab does not provide financial, legal, accounting, or property management services. The App is a communication and record-keeping tool. All decisions and actions based on information in the App are the responsibility of the Building Admins, Unit Owners, and Unit Residents.

4. Eligibility and User Roles

You must be legally capable of entering into binding contracts under the laws that apply to you in order to use the App.

Building Admins are responsible for:

• Ensuring they are authorized by the building/committee to manage its data.
• Inviting/connecting Unit Owners and Unit Residents to their correct units.

Unit Owners and Unit Residents are responsible for providing accurate information about themselves and their units. We may suspend or terminate access if we believe any user is misrepresenting their identity, role, or authority.

5. Account Registration and Security

To use Abwab, you may be required to create an account and provide certain information (such as name, contact information, building/unit details).

You agree to:

• Provide accurate, complete, and up-to-date information.
• Keep your login credentials secure and not share them with others.
• Notify us immediately if you suspect unauthorized access to your account.

You are responsible for all activities that occur under your account.

6. Subscriptions, Fees, and Payments

• Access to certain features of Abwab may require a paid subscription, generally managed at the Building Admin level.
• Prices, billing cycles, and payment methods will be presented within the App or in a separate agreement.
• Building Admins are solely responsible for paying subscription fees and for any financial arrangements with Unit Owners or Unit Residents related to those fees.
• We may change subscription plans or pricing from time to time; any changes will be communicated as required by applicable law.

All financial transactions between Building Admins, Unit Owners, and Unit Residents (such as building dues or maintenance payments) are outside of Abwab’s responsibility unless clearly specified otherwise in a separate agreement.

7. Building Data, Financial Information, and Documents

• Building Admins are responsible for the accuracy and completeness of all Building Data they enter into Abwab.
• Unit Owners and Unit Residents understand that their access to building expenses, income, and payment history depends on the permissions set by the Building Admin.
• Abwab is not a party to any financial or legal relationship between Building Admins, Unit Owners, and Unit Residents.
• We do not audit, verify, or guarantee the accuracy of financial or other Building Data stored in the App.

You acknowledge that any reliance on Building Data is at your own risk.

8. User Content and Responsibilities

You may upload, submit, or share data, text, documents, images, and other materials (“User Content”).

You agree that:

• You have all necessary rights to submit User Content.
• Your User Content will not violate any applicable laws or the rights of others (including privacy and intellectual property rights).
• You grant Abwab a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content for the purpose of operating and improving the Service.

You remain responsible for your User Content and any consequences of sharing it through the App.

9. Prohibited Conduct

You agree not to:

• Use the App for any unlawful, fraudulent, or malicious purpose.
• Misrepresent your identity or your relationship to a building, unit, or organization.
• Access or attempt to access accounts, data, or information that you are not authorized to access.
• Interfere with or disrupt the App, its servers, or networks.
• Upload malware, viruses, or any harmful code.
• Reverse engineer, decompile, or attempt to derive the source code of the App.
• Use the App to harass, threaten, or abuse others.

We may suspend or terminate your access if you engage in any prohibited conduct.

10. Privacy and Data Protection

Your use of Abwab is also governed by our Privacy Policy, which describes how we collect, use, and protect personal data.

By using the App, you agree to our data practices as described in the Privacy Policy, including:

• Collection and processing of information about buildings, units, and users.
• Use of technical and organizational measures to protect data, subject to limitations described in these Terms.

Building Admins are responsible for ensuring they have appropriate consent and legal basis to share residents’ and owners’ data with Abwab and with other users through the App.

11. Third-Party Services

The App may integrate with or link to third-party services (e.g., payment gateways, messaging services, cloud storage).

• We are not responsible for third-party services and do not control their terms, privacy policies, or behavior.
• Your use of any third-party service is at your own risk and subject to that service’s terms and policies.

12. Warranties and Disclaimers

The App is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the above, we do not warrant that:

• The App will be uninterrupted, error-free, or secure at all times.
• Building Data or User Content is accurate, complete, or up-to-date.
• Any particular financial or operational outcome will result from using the App.

You use the App at your own risk.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the App.
• Our total liability for any claim arising out of or relating to these Terms or the App will not exceed the amount you paid (if any) for the Service during the twelve (12) months preceding the event giving rise to the claim.

These limitations apply even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Abwab and its owners, affiliates, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the App.
• Your violation of these Terms.
• Your User Content or Building Data you submit.
• Any dispute between you and any Building Admin, Unit Owner, Unit Resident, or third party.

15. Suspension and Termination

We may, at our sole discretion, suspend or terminate your access to the App at any time, with or without notice, if we believe that:

• You have violated these Terms or applicable law.
• Your use of the App poses a security or legal risk to us or to other users.
• The building or organization associated with your account has requested such action.

Upon termination, your right to use the App will cease. Certain obligations (such as payment obligations, indemnification, and limitations of liability) will survive termination.

16. Changes to the Service and Terms

We may modify or discontinue parts of the App at any time. We may also update these Terms from time to time.

When we make material changes to the Terms, we will notify you as required by applicable law (for example, by updating the “Last updated” date, sending an in-app notice, or sending an email). Your continued use of the App after changes become effective constitutes your acceptance of the updated Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the country or region associated with the Apple App Store or Google Play Store account you used to download the App, without regard to its conflict-of-law rules, unless mandatory law in your place of residence requires otherwise. For buildings located in Palestine, the laws of Palestine will generally apply.

Any dispute arising out of or relating to these Terms or your use of the App will be subject to the jurisdiction of the competent courts in that country or region, unless applicable law requires otherwise.
